Terms of Service

1. Introduction

Welcome to Elitate. These Terms of Service ("Terms") govern your access to and use of our AI-powered study platform ("Service"), including our website, future mobile applications, and related services. The Service includes: a library to organize subjects and materials (PDFs, video URLs, notes); AI-generated study tools (quizzes, flashcards, mind maps, exams); an AI chat that answers questions using your materials; and progress tracking (streaks, goals, activity).

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

2. Account Registration

To access certain features of the Service, you must create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during the registration process
• Maintain the security of your account credentials and accept all risks of unauthorized access
• Immediately notify us of any unauthorized use of your account
• Be responsible for all activities that occur under your account

3. User Content

Our Service allows you to upload, submit, store, and share content, including study materials, notes, and other educational content ("User Content"). You retain ownership of your User Content, but you grant us the following rights:

• A worldwide, non-exclusive, royalty-free license to use, process, and display your User Content to provide and improve the Service
• The right to send your User Content to third-party AI providers (e.g., for embeddings and text generation) as necessary to deliver features such as AI chat and study tool generation. We do not use your User Content to train AI models for purposes unrelated to providing you the Service.

You represent and warrant that you have all necessary rights to your User Content and that it does not violate any third-party rights or applicable laws.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Service or other users' accounts
• Upload or transmit viruses, malware, or any other malicious code
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to harass, abuse, or harm another person
• Scrape, data mine, or use automated means to access the Service without our express written permission
• Attempt to circumvent any access restrictions or usage limits

5. Subscription and Payment

Certain features of the Service require a paid subscription (Premium). Subscriptions may be offered on the web (via third-party payment processors such as DodoPayments) and, when available, on mobile (via app stores and services such as RevenueCat). By subscribing, you agree to:

• Pay all fees associated with your subscription plan
• Provide accurate and complete payment information
• Allow recurring charges until you cancel in accordance with the applicable platform (web or app store)

Subscription fees are non-refundable except as required by law or as explicitly stated in our refund policy. You may cancel your subscription at any time; cancellation takes effect at the end of your current billing period. Refunds and billing disputes for app-store purchases are subject to the policies of Apple and Google.

6. Intellectual Property

The Service and its original content, features, and functionality (excluding User Content) are owned by Elitate and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

7. AI-Generated Content

Our Service uses third-party artificial intelligence to generate study materials (quizzes, flashcards, mind maps, exams) and to power the AI chat over your materials. You acknowledge and agree that:

• AI-generated content may contain errors or inaccuracies
• You should verify important information from authoritative sources
• We are not liable for any decisions made based on AI-generated content
• AI-generated content is provided for educational purposes only and should not replace professional advice

8. Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we believe:

• Violates these Terms
• Is harmful to other users, us, or third parties
• Violates applicable laws or regulations

Upon termination, your right to use the Service will immediately cease. We may delete your account and User Content, though we are not obligated to do so.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ELITATE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of the Service
• Any errors or omissions in any content

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a notice on our Service prior to the changes taking effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms.
